Fees and Payment

Pricing

Our Service operates on a subscription-based model. You will be charged on a recurring basis according to your chosen subscription plan.

All fees are in U.S. Dollars unless otherwise stated. We reserve the right to change our fees at any time. If we change our fees, we will provide you with advance notice of such changes.

Subscriptions

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle").

Your Subscription will automatically renew at the end of each Billing Cycle unless you cancel it or we cancel it. You may cancel your Subscription renewal either through your account settings or by contacting our customer support team.

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Service. You agree to promptly update your account and other information, including your email address, credit card numbers, and expiration dates, so that we can complete your transactions and contact you as needed.

Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments shall be in U.S. dollars unless otherwise specified.

Refunds

All sales are final. We do not offer refunds except as required by applicable law. If you believe you are entitled to a refund under applicable law, please contact us with details of your purchase.

Termination and Account Suspension

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

Effect of Termination

Upon termination of your account:

• Your right to use the Service will immediately cease
• We may delete your account and all associated data

Upon termination, your data will be handled in accordance with our Privacy Policy and applicable law.

Limitations of Liability

Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Cristian Radu does not warrant that:

• The Service will function uninterrupted, secure or available at any particular time or location
• Any errors or defects will be corrected
• The Service is free of viruses or other harmful components
• The results of using the Service will meet your requirements

Your use of the Service is at your sole risk. You understand and agree that you download from, or otherwise obtain content or services through, the Service at your own discretion and risk.

Limitation of Liability

In no event shall Cristian Radu, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use or alteration of your transmissions or content

Whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Limitation on Amount of Damages

In no event will our total liability to you for all damages, losses, and causes of action (whether in contract, tort (including negligence), or otherwise) exceed The amount paid in the last 12 months.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations above may not apply to you. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

Indemnification

You agree to defend, indemnify and hold harmless Cristian Radu and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

• Your violation of any third party right, including without limitation any copyright, property, or privacy right

This defense and indemnification obligation will survive these Terms of Service and your use of the Service.

Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed and construed in accordance with the laws of United Kingdom, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Dispute Resolution

In the event of any dispute arising out of or relating to these Terms, the parties agree to first attempt to resolve the dispute through good faith negotiation. If the parties are unable to resolve the dispute through negotiation within 30 days, either party may pursue other legal remedies.

Changes to Terms of Service

We reserve the right, at our sole discretion, to modify or replace these Terms at any time.

We will provide 30 days advance notice of any material changes to these Terms. What constitutes a material change will be determined at our sole discretion.

When we make changes to these Terms, we will notify you through the following methods:

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms of Service, together with any amendments and any additional agreements you may enter into with Cristian Radu in connection with the Service, shall constitute the entire agreement between you and Cristian Radu concerning the Service.

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.
